By accessing www.udyamsuite.com, submitting a form, booking a demo, or using the UdyamSuite service, you agree to these Terms & Conditions. If you do not agree, do not use the website or the service. If you use the service on behalf of a company, you confirm that you are authorised to accept these terms for that company.

UdyamSuite provides a cloud-based manufacturing ERP suite covering areas such as inventory, production, purchasing, sales, accounting, assets, and reporting. Features may evolve, and some capabilities may be marked as early access, beta, or coming soon.

We aim to keep the service available and secure, but we do not guarantee uninterrupted or error-free operation. Planned maintenance, network issues, or events outside our control may affect availability.

You must be at least 18 years old and legally capable of entering into a contract to use the service. You are responsible for the accuracy of the information you provide, for keeping account credentials confidential, and for activity under your account.

Notify us promptly if you suspect unauthorised access to your account.

Early access, demos, and trial access may be provided free of charge for evaluation. Early access features are provided as-is and may change or be withdrawn. A demo is a walkthrough, not a binding offer, and does not create a customer relationship until a subscription is confirmed.

Paid plans are billed in Indian Rupees (INR) at the prices shown on the pricing page or in your order confirmation. Prices exclude applicable taxes unless stated otherwise.

Subscriptions renew for the period you select unless cancelled before the renewal date. You authorise us and our payment processors to charge the applicable fees. If a payment fails, we may suspend access until it is resolved.

You agree not to:

• Use the service for unlawful, fraudulent, or harmful activity.
• Attempt to access accounts, data, or systems without authorisation.
• Interfere with the security, integrity, or performance of the service.
• Reverse engineer, resell, or copy the service except as permitted by law.
• Upload malware or content that infringes another person’s rights.
• Send spam or use lead forms to submit false or misleading information.

The UdyamSuite name, logo, website, software, documentation, and related content are owned by UdyamSuite or its licensors and are protected by intellectual property laws. These terms grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes. All rights not expressly granted are reserved.

You retain ownership of the business data you enter into the service. You grant us the right to host, process, and back up that data to provide and support the service. You are responsible for having the necessary rights and consents to submit the data. Our handling of personal data is described in the Privacy Policy.

The service may rely on third-party infrastructure, payment processors, or integrations. We are not responsible for third-party services that we do not control. Your use of a third-party service may be subject to its own terms and privacy policy.

To the maximum extent permitted by law, the website and service are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. UdyamSuite does not provide legal, tax, or accounting advice; you are responsible for your statutory filings and business decisions.

To the maximum extent permitted by law, UdyamSuite will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity. Our total liability for claims relating to the service will not exceed the amount you paid to UdyamSuite for the service in the three months before the event giving rise to the claim.

You agree to indemnify and hold UdyamSuite harmless from claims, losses, and expenses arising from your misuse of the service, your content or data, or your breach of these terms, to the extent permitted by law.

We may suspend or terminate access if you breach these terms, fail to pay, or use the service in a way that creates risk for other users or for us. You may stop using the service at any time. On termination, your right to use the service ends. We may retain data as described in the Privacy Policy and as required by law.

We may update these terms from time to time. The effective date at the top of this page shows the latest version. Continued use of the website or service after an update means you accept the revised terms. Material changes will be communicated on the website or by email where appropriate.

These terms are governed by the laws of India. Subject to applicable law, disputes will be subject to the jurisdiction of the competent courts in India. Before starting formal proceedings, please contact us so we can try to resolve the issue informally.
